The NEO PRACTICE MANAGEMENT (NEO) system is provided by COMPUTER FRAMEWORKS to you or your company or business (known as the Customer in this document). These are the terms of use which form our contract with you.
On the understanding that all terms and conditions as described below are acknowledged by you, the Customer will use the software.
Computer Frameworks owns or has the right to licence the Software through a subscription model.
Computer Frameworks grants to the Customer permission to use the Neo software.
The Customer authorises Computer Frameworks to transmit claim data on behalf of the Provider(s) operating under the Customer’s business.
The Customer recognises and agrees that permission to use NEO is limited, based upon the amount of the Subscription fee paid by Customer. The Customer agrees to:
The Customer may not provide data processing services that make use of NEO without the express prior written consent of Computer Frameworks.
Computer Frameworks reserves the right to monitor the use of system resources by our customers in order to provide a responsive, convenient and rich user experience. We reserve the right to recalibrate pricing of our product and pass on any cost increases, as required, in order to maintain efficient operation of the system resources.
Each party will use the same means it uses to protect its own confidential information and will advise its employees, agents and professional advisers who receive any of the other party's confidential information of its confidential nature. Neither party will make or issue any announcement or statement regarding Neo activities to the general public or any third party without the prior written consent of the other party.
Neither party is to act as an agent of the other party for any purpose whatsoever
Payment terms are MONTHLY for the use of software as a service, unless otherwise agreed. All invoices / notices will be sent to the Customer’s service email address. Payment details are outlined in a separate pricing / support advice.
Computer Frameworks will not be liable for any damages, lost profits or any indirect, incidental or consequential damages arising from your Company’s use of Neo.
The Customer will indemnify Computer Frameworks against all losses, costs (including legal costs), expenses, demands or liability that Computer Framework’s incurs arising out of, or in connection with, a third-party claim against Computer Frameworks arising from the Customers use of our services or any third-party product.
We encourage feedback from our customers and engage in research to improve Neo services and functionality.
Computer Frameworks will endeavour to resolve a fault or incident as soon as it is reported.

A Customer may request a change to NEO to satisfy a specific business requirement.
All requests are to be forwarded to the support email address.
All changes will be assessed to ensure they can be accommodated in NEO and Computer Frameworks will work with the Customer to agree a price for the changes to be developed and added to NEO.

Where a data breach occurs, it is the Customer’s responsibility to notify their clients. It is highly recommended that you provide Computer Frameworks with as much information as possible should our services be required to notify your clients or to provide further information to the Office of the Australian Information Commissioner.
Computer Frameworks works hard to keep your data secure, however, no technology is completely safe to data loss. Speak to us if you wish to back-up your data that has been entered into NEO.
Once a Customer terminates the agreement the Data is archived and the data will not be accessible by the Customer. We will archive the data according to our Data Retention Policy, the Customer can re-activate the subscription to regain access to the data.
If either party considers that a dispute has arisen, a notice should be sent to the other party, setting out particulars of the dispute.
If required, the parties will then arrange a meeting to discuss the dispute and agree a way forward.
Either party reserves the right to terminate the use of the Neo software by giving the other party 30 days written notice in advance.
Upon termination, the Customer is responsible for advising Medicare of the termination.
Upon termination of a subscription, the Customer must settle all outstanding invoices within 30 days, for services rendered by Computer Frameworks up to the termination date.
Any costs associated with the supply of Customer data to the Customer, after termination, will be borne by the Customer.
Computer Frameworks (Monthly subscription) reserves the right to suspend and/or terminate the use of the Neo software immediately should the Customer not pay the agreed subscription fee, including fees for SMS usage and data storage.
Computer Frameworks (Annual Subscription) reserves the right to suspend and/or terminate the Customer’s use of the Neo software immediately should the Customer not pay the agreed subscription fee.
Any costs associated with the recovery of outstanding subscription fees, including fees for SMS usage and data storage, will be borne by the Customer.
Computer Frameworks reserves the right to suspend and/or terminate your subscription or access to all or any of your data immediately if the Customer commits a breach of any of the Terms and Conditions, the Customer becomes insolvent, or the Customer has committed a crime.
The Customer must inform Computer Frameworks of a change of email, billing address or ownership within an appropriate timeframe and which does not impact on the billing cycle. Failure to inform Computer Frameworks of a change will be considered a breach of the terms and conditions contract.
The customer acknowledges and agrees to the Terms and Conditions by accepting them during the registration process, through receipt of email, or by continuing to use the Neo Practice Management system. If the customer does not agree to the Terms and Conditions, they may discontinue using the system.
